This is the translation in English of the official statutes (Satzung) of IAE e.V. adopted by the founding assembly on 2 March 2026. In case of discrepancies, ambiguities or imprecision please refer to the German text, which is the version that is legally binding.
§ 1 Name and registered location of the Association, financial year
- The Association bears the name “International Association of Egyptologists”, abbreviated to “IAE” and referred to in German as “Internationaler Ägyptologenverband”, in French as “Association internationale des égyptologues” and in Arabic as “الرابطة الدولية لعلماء الآثار المصرية”.
- It shall be entered in the register of associations and shall then bear the suffix “e.V.”.
- The registered location of the Association is Cologne.
- The financial year is the calendar year.
§ 2 Purpose of the Association
- The Association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-privileged purposes” of the German Tax Code.
The purpose of the Association is the worldwide promotion of the scholarship and science of Egyptology (§ 52 (2) No. 1 of the German Tax Code). The Association’s aim is to promote the study and preservation of the historical heritage of the ancient cultures of the northern and central Nile Valley in general and the study of Egyptology in all its aspects on an international basis in particular. It promotes a broader understanding and greater appreciation of Egyptology among the general public and provides a forum for open discussion of issues relating to Egyptology. - The purpose as defined by the statutes is realised in particular through
- actively supporting, both conceptually and financially, initiatives and projects that are important for the academic development of Egyptology,
- international cooperation between scholars and scientists working professionally in the field,
- support for the operation and further expansion of the Online Egyptological Bibliography (OEB),
- the regular holding of international congresses of Egyptology, known as the International Congress of Egyptologists (ICE), which usually take place every four years and are organised by the inviting institution or institutions with the support of the Association’s Presidium and in close cooperation with it.
§ 3 Non-profit status
- The Association is a non-profit organisation. It acts altruistically and does not primarily pursue its own economic interests. The Association’s funds may only be used for purposes specified in the statutes. Members do not receive any payments from the Association’s funds. No person may benefit from expenses that are not related to the purpose of the Association or from disproportionately high remuneration.
- Association offices are generally held on a voluntary basis. This does not affect the reimbursement of expenses in accordance with § 670 BGB (German Civil Code) for association members and members of the Presidium and Council for expenses incurred by them through activities for the Association. The reimbursement of expenses may be limited by the Presidium in terms of reason and amount.
- Members of the Presidium, the Council and other persons may be granted reasonable expense allowances within the limits of the Association’s budget, in particular expense allowances in accordance with Section 3 No. 26 a of the German Income Tax Act (EStG) (voluntary work allowance), the amount of which shall be determined by the Presidium.
- If the tasks arising in the Association cannot be performed on a voluntary basis, the Presidium may enter into service agreements or employment contracts for its support within the limits of the budgetary possibilities.
§ 4 Acquisition of membership
- Members of the Association can be natural persons or legal entities.
- Natural persons can become members if they
- are scholars or scientists with a degree in Egyptology or a related subject (Group 1);
- are scholars or scientists from other disciplines who have published in internationally recognised journals and series on Egyptological topics (Group 2);
- are students of Egyptology or a related subject (Group 3).
- Legal entities can become members if they are active in Egyptology or a related subject.
- The application for membership must be submitted in writing. The Presidium decides on the application for membership. No reasons need to be given for rejecting an application.
- Honorary membership may be granted to individuals who have rendered outstanding services to the Association and its objectives. Honorary members are appointed by the Presidium.
- Upon admission, the members of the Association commit to upholding the ethical standards of the Association as defined in the Code of Conduct. The Code of Conduct is publicly available on the IAE website.
§ 5 Termination of membership
- Membership shall end upon the death of the member, upon resignation, expulsion or removal from the membership list. In the case of legal entities the membership shall end upon their dissolution.
- Resignation shall be affected by written declaration to the Presidium. The written declaration of resignation must be submitted to the Presidium with one month’s notice before the end of the financial year.
- A member may be expelled from the Association. Expulsion may only take place for good cause. Good cause includes, in particular, behaviour that is detrimental to the Association’s objectives, violation of statutory obligations or violation of the Code of Conduct. The Presidium shall decide on expulsion after hearing the person concerned. The person concerned shall be notified of the expulsion.
- A member may be removed from the membership list by the Presidium if, despite a written reminder, they are in arrears of the payment of their membership fee and the reminder has indicated the intended removal from the membership list.
- Reinstatement to the Association may be granted by the Presidium at the earliest after five years after resignation or expulsion. In the case of removal from the membership list due to arrears of payment reinstatement may be granted by the Presidium once all outstanding membership fees have been paid.
§ 6 Rights and obligations of members
- All members have the right to participate, submit motions, speak and vote in the general meeting; however, only members listed in Group 1 in § 4 (2) a) have the right to stand for election.
- Membership fees are charged to members. The amount of the fees and their due date are determined by the general meeting.
- Honorary members are exempt from the obligation to pay membership fees.
§ 7 Organs of the Association
The organs of the Association are:
- the General Meeting
- the Presidium
- the Council
§ 8 General meeting
- The General Meeting is responsible for
- the election and dismissal of the Presidium

- An ordinary General Meeting shall be held every four years. An extraordinary General Meeting shall be held if it is in the interests of the Association or if at least one third of the Association members request this from the Presidium in writing, stating the purpose and reasons.
- Resolutions of the General Meeting are usually passed at a face-to-face meeting attended by its members. Resolutions of the General Meeting may also be passed by means of electronic communication (virtually). The procedures may be carried out in person, electronically, or as a combination (hybrid).
The decision on the type of resolution and electronic communication shall be made by the Presidium unless at least 10 members have submitted a written request for a hybrid meeting to the Presidium at least 10 days before the start of the meeting. - The allocation of tasks specified in the Statutes and the modalities for convening and conducting meetings shall apply regardless of whether these are held in person or as hybrid or virtual meetings.
- The General Meeting shall be convened by the Presidium in writing, giving one month’s notice and stating the agenda set by the Presidium. The invitation shall be deemed to have been received by the members if it was sent to the last email address communicated to the Association.
- Members may submit written requests to the Presidium to add items to the agenda, provided that such requests are received at least 10 days before the meeting. Requests received in due form and time shall be announced at the beginning of the meeting and added to the agenda. The Presidium is not bound by the deadline for adding agenda items.
- The General Meeting shall constitute a quorum regardless of the number of members present.
- Each member has one vote. Voting rights can only be exercised in person. Voting rights may be transferred to another member entitled to vote upon presentation of a written proxy, for a maximum of three other members.
- The General Meeting shall be chaired by a member of the Presidium. A minute-taker shall be elected at the beginning of the general meeting.
- The General Meeting shall decide on resolutions and elections by a simple (absolute) majority of the votes cast; abstentions and invalid votes shall not be counted when calculating this majority. Amendments to the Statutes, changes to the purpose of the Association and the dissolution of the Association require a two-thirds majority of the members present.
- Minutes shall be kept of the resolutions and shall be signed by the chairperson of the meeting and the minute-taker.
§ 9 Presidium
- The Presidium consists of the President, the Vice-President and the Secretary General.

- Only members of the Association who hold a doctorate and are listed as Group 1 members in accordance with § 4 (2) a) may be elected to the Presidium. Members are requested to submit written nominations for candidates to the current Presidium at least eight weeks before the General Meeting at which the election is to take place. Nominees must declare their consent to stand for election in writing at least six weeks before the General Meeting. This does not affect the right to submit nominations during the General Meeting.
- The members of the Presidium are elected for a term of four years, with the proviso that they remain in office until a proper new election is held. As a rule, members of the Presidium should only serve for two terms of office.
The President and the Vice-President shall be elected in a joint ballot. The Secretary General shall be elected in a separate ballot. - In the event of premature resignation during the term of office, the remaining members of the Presidium may elect a replacement member until the next General Meeting, which must be convened no later than three months after the resignation of the Presidium member; by-elections shall only be held for the remaining term of office.
Upon termination of membership in the Association, the term of office as a member of the Presidium also ends. - Meetings of the Presidium shall be held as required and shall be convened in writing with three days’ notice, stating the agenda. Meetings may be held in person or in hybrid or virtual form; the form of the meeting and the type of electronic communication shall be decided by the member of the Presidium convening the meeting.
The Presidium shall constitute a quorum if at least two of its members are present. It shall decide by a simple majority of the votes cast; in the event of a tie, the vote of the chair of the meeting will decide.
Minutes of the resolutions shall be taken and signed by the chairperson and the minute-taker. - The Presidium manages the Association and conducts its business. The distribution of the Presidium’s tasks among the individual members of the Presidium shall be determined by a distribution of duties to be decided by the Presidium.
- Notwithstanding the powers of the General Meeting, the Presidium may adopt amendments to the Statutes to the extent required by the courts or the tax office.
§ 10 Council
- The Council supports the Presidium in its work. It also acts in an internal advisory capacity on decisions of the Presidium for which the latter seeks a decision, in particular in connection with the advance payment of expenses that exceed those of day-to-day business operations.
- The Council is composed of members of the Association, namely

The Council shall be convened by the Presidium in writing, giving 10 days’ notice and stating the agenda. The invitation letter shall be deemed to have been received by the members if it was sent to the last email address communicated to the Association.
The meetings of the Council shall be held in person, in a hybrid format or virtually; § 8 (3) shall apply accordingly. The President or Vice-President of the Presidium shall chair the meeting. All members of the Council are entitled to vote. They shall vote at meetings of the Council by a simple majority of the votes cast. - Minutes shall be kept of the meetings of the Council and shall be signed by the chairperson and the minute-taker; responsibility for keeping the minutes lies with the Secretary General.
§ 11 Cash Audit
- The general meeting elects two cash auditors for the term of office of the Presidium. These may not be members of the Presidium or the Council.
- A cash audit shall take place annually. The cash audit shall comprise an audit of the accounting but shall not extend to the appropriateness of the expenses incurred by the Presidium.
- The cash auditors prepare written reports, which they submit to the general meeting.
§ 12 Dissolution of the Association
- The dissolution of the Association shall be decided by the General Meeting in a meeting convened specifically for this purpose.
- With the resolution to dissolve the Association, the General Meeting shall also appoint the liquidators, including their powers of representation.
